Acceptance of Terms

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("Customer", "you", "your") and Codeful Studio ("Codeful Studio", "we", "us", "our"), a software business operating under English law and reachable at hello@codefulstudio.co.uk.

By purchasing, downloading, installing, or using any plugin, product, or service offered through codefulstudio.co.uk, you confirm that you have read, understood, and agree to these Terms in full.

If you do not agree with any part of these Terms, you must not purchase or use our products.

Eligibility

To purchase or use our products you must:

• Be at least 18 years of age, or have the consent of a legal guardian.
• Have full legal authority to enter a binding contract.
• Provide accurate and truthful information during registration and checkout.

We reserve the right to refuse service or cancel orders at our sole discretion if eligibility requirements are not met.

Products & Licences

Codeful Studio sells WordPress plugins and related digital products ("Products"). Each purchase grants you a non-exclusive, non-transferable licence to use the Product on the number of WordPress websites specified at the time of purchase ("Site Licence").

Licence types:

• Single Site: one production domain.
• Unlimited Sites: unlimited domains owned or managed by the purchaser.

All licences are for a 12-month subscription period and must be renewed annually to continue receiving updates and support. Failure to renew does not revoke your right to use the software version downloaded before expiry, but you will not receive security patches or new features.

Licences are personal and non-transferable unless we provide written consent. Sub-licensing, reselling, or redistributing our plugins (including on theme or plugin marketplaces) without explicit permission is strictly prohibited.

Payment & Pricing

All prices are displayed in US Dollars (USD) unless otherwise stated. Applicable taxes (including VAT for UK and EU customers) may be added at checkout in accordance with local regulations.

We accept payment via secure third-party processors. We do not store full payment card details.

Prices are subject to change. Any price change will not affect orders already placed and paid.

Annual renewal pricing will be communicated at least 30 days before your renewal date. Renewals are not automatic unless you have opted into auto-renewal at checkout.

Refunds

We offer a 30-day money-back guarantee on all products. If you are not satisfied with your purchase for any reason, contact us within 30 days of your purchase date at hello@codefulstudio.co.uk and we will issue a full refund — no questions asked.

Refunds are not available in the following circumstances:

• More than 30 days have elapsed since the original purchase date.
• The request relates to a renewal payment where you were notified of the upcoming charge at least 14 days in advance and did not cancel.
• The product has been used in violation of these Terms.

Under the UK Consumer Contracts Regulations 2013, by purchasing and downloading digital content, you acknowledge that you lose your right to a 14-day cooling-off period once the download has commenced. Our 30-day guarantee is offered voluntarily and does not limit any statutory rights you may have.

Intellectual Property

All Products, including source code, design, documentation, branding, and marketing materials, are the exclusive intellectual property of Codeful Studio and are protected by copyright, trademark, and other applicable laws.

Our plugins are released under the GNU General Public License v2.0 or later (GPL-2.0+) in compliance with WordPress licensing requirements. The GPL permits you to use, modify, and redistribute the software, but does not grant any rights to our trademarks, branding, or premium distribution channels.

The Codeful Studio name, logo, and associated marks may not be used without prior written permission.

Restrictions

You agree not to:

• Distribute, sell, or sub-licence our Products to third parties without authorisation.
• Remove or alter any copyright, trademark, or licensing notices from the software.
• Use our Products in any unlawful manner or in violation of any applicable regulations.
• Attempt to circumvent licence key validation or activation systems.
• Reverse-engineer, decompile, or disassemble our proprietary components beyond what is permitted by applicable law.
• Use our support system or branding to misrepresent your affiliation with Codeful Studio.

Disclaimer of Warranties

Our Products are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

• The Products will be uninterrupted, error-free, or free of viruses.
• The Products will be compatible with all server environments, themes, or third-party plugins.
• Any defects will be corrected within a specific timeframe.

You are responsible for performing adequate testing in a staging environment before deploying our Products on a live site.

Limitation of Liability

To the maximum extent permitted by English law, Codeful Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or goodwill — arising from your use of, or inability to use, our Products, even if we have been advised of the possibility of such damages.

Our total aggregate liability for any claim arising under these Terms shall not exceed the amount you paid to us in the 12-month period immediately preceding the claim.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

Data & Privacy

Your personal data is processed in accordance with our Privacy Policy, which forms part of these Terms. By using our Products and website, you consent to such processing.

We process personal data as a data controller under the UK GDPR and the Data Protection Act 2018.

Termination

We may suspend or terminate your licence and access to our Products immediately and without notice if you breach these Terms, engage in fraudulent activity, or use our Products in a manner that may cause legal liability or reputational harm to Codeful Studio.

Upon termination you must cease using the Product and destroy all copies in your possession. Sections of these Terms that by their nature should survive termination (including Intellectual Property, Limitation of Liability, and Governing Law) shall continue in effect.

Governing Law & Disputes

These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of England and Wales. You agree to submit to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer based in the European Union, you may also have rights under the laws of your country of residence. Nothing in these Terms affects those rights.

Changes to These Terms

We reserve the right to update these Terms at any time. Material changes will be communicated via email to registered customers or by a prominent notice on our website at least 14 days before taking effect.

Your continued use of our Products after the effective date of any changes constitutes your acceptance of the revised Terms.
